WATLINGTON BUSINESS ASSOCIATION

ADOPTED CONSTITUTION

1. Aims and Objectives

1.1 To promote and therefore benefit all Commercial, Retail, Professional and Trade businesses in the Watlington area.

1.2 To provide a forum for the exchange of views on all matters relating to conducting business in and around Watlington

1.3 To present and express the opinions of the business community on all matters affecting the membership.

1.4 To collect and circulate useful and relevant information on behalf of members.

1.5 To be a non-political and non-sectarian organisation.

2. Membership

2.1 To be open to all individuals, companies and groups, corporate or unincorporated, which have a place of business in the Watlington area and that are interested in furthering the above objectives.

2.2 Each member from 2.1 will appoint a representative who will have a single vote at all General meetings.

3. Subscriptions

3.1 Shall be paid to the Honorary Treasurer yearly at the rate the committee will from time to time review, and will be agreed by the membership at the Annual General Meeting.

3.2 There will be a scale of subscriptions to encourage wider membership.

4. The Committee

4.1 The Committee will consist of a Chairman, Vice-Chairman, Secretary and Honorary Treasurer who will be elected by the Annual General Meeting following nominations made in advance of the AGM and circulated to all members in advance.

5. Meetings

5.1 Meeting dates will be decided by the committee and advised at the end of each meeting as the last agenda item.  Agendas will be circulated a week in advance of a general meeting.  There will normally be six meetings per year.

5.2 A minimum of eight members will represent a quorum for all general meetings.

5.3 Each member/representative will have a vote and in the case of an equal vote the Chairman will have a second casting vote.

5.4 In addition to the Annual General meeting the committee will endeavour to invite speakers on subjects of interest to the greater membership.

5.5 Minutes will be kept and circulated from all meetings at which the Chairman or Vice-Chairman and Honorary Treasurer will make their reports as agenda items.

5.6 From time to time an Executive Committee consisting of the Chairman, Vice-Chairman and Secretary may meet between meetings to discuss and action items raised at previous meetings. These Executive Committee meetings will be minuted and copies of the minutes sent to all members of the Watlington Business Association.
